Terms of Service

Welcome to Urba. These Terms of Service (“Terms”) govern your use of the urba.now platform, including our website, mobile applications, and related services (collectively, the “Service”), operated by Urba Inc. (“Urba,” “we,” “us,” or “our”), a company based in Calgary, Alberta, Canada.

By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

Urba is a local discovery platform that connects people with events, restaurants, and nightlife across active launch cities. Our Service includes:

• Event discovery and ticketing: Browse events and purchase tickets from event organizers.
• Restaurant discovery: Find restaurants, view details, and explore curated city guides.
• Reservations: Book tables at participating restaurants.
• Organizer tools: Create and manage events, sell tickets, track attendance, and manage payouts.

2. Accounts

To use certain features of the Service, you must create an account using Google or Apple sign-in. You must be at least 13 years of age to create an account.

You are responsible for maintaining the security of your account. If you believe your account has been compromised, contact us immediately at [email protected].

3. Urba as a Marketplace

Urba is a marketplace, not an event organizer or venue operator. When you purchase a ticket or make a reservation, your transaction is with the event organizer or restaurant, not with Urba. We facilitate the connection but are not responsible for the quality, safety, or occurrence of events or dining experiences.

Event organizers and restaurants are independent third parties. They are responsible for fulfilling their obligations to you, including delivering the event or dining experience as described.

4. Tickets and Pricing

Ticket fees

Urba charges a service fee on each ticket sold. Standard pricing is $0.99 CAD flat for tickets under $10, and $0.99 + 1% for tickets $10 and above. Stripe payment processing fees (2.9% + 30¢) are passed through at cost. All fees are displayed before purchase.

Ticket validity

Each ticket includes a unique QR code for entry. Tickets are non-transferable unless the event organizer has enabled transfers. Screenshots or copies of QR codes may not be accepted. Only the original ticket holder's QR code is valid for check-in.

Refunds

Refund policies are set by individual event organizers, not by Urba. Each event's refund policy is displayed on the event page before purchase. If an event is cancelled by the organizer, the organizer is responsible for issuing refunds.

The Urba service fee is non-refundable. Stripe processing fees may or may not be refundable depending on the circumstances.

5. Reservations

Restaurant reservations through Urba are free of charge for diners. When you make a reservation, you are committing to arrive at the specified time. Please cancel or modify reservations in advance if your plans change.

Restaurants may have their own cancellation or no-show policies. Repeated no-shows may result in restrictions on your ability to make future reservations.

6. Payments

All payments are processed securely by Stripe. Urba never receives, stores, or has access to your payment card information. By making a purchase, you also agree to Stripe's terms of service.

Event organizers receive payouts through Stripe Connect. Urba facilitates these payouts but does not hold funds on behalf of organizers beyond the standard processing period.

7. Event Organizers

If you use Urba to organize and sell tickets to events, you agree to:

• Provide accurate and complete event information
• Fulfill the event as described or provide refunds if cancelled
• Comply with all applicable laws, including obtaining necessary permits and licenses
• Use attendee data only for the purpose of managing attendance for your specific event
• Not spam or misuse attendee contact information
• Set a clear refund policy for your event

Urba reserves the right to remove events or suspend organizer accounts that violate these Terms or applicable laws.

8. Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Create fake events, listings, or accounts
• Resell tickets at inflated prices (scalping) through the platform
• Scrape, crawl, or use automated means to access the Service
• Attempt to circumvent security features or access restrictions
• Harass, abuse, or harm other users
• Upload malicious content or interfere with the Service's operation
• Impersonate another person or entity

9. Intellectual Property

The Urba name, logo, and platform design are the property of Urba Inc. You may not use our branding without written permission.

Content you upload (event descriptions, images, etc.) remains yours. By uploading content to the Service, you grant Urba a non-exclusive, worldwide license to display, distribute, and promote that content in connection with the Service.

10. Limitation of Liability

To the maximum extent permitted by law, Urba is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, but is not limited to:

• Events that are cancelled, postponed, or differ from their description
• Restaurant experiences that do not meet expectations
• Losses due to unauthorized access to your account
• Service interruptions or technical issues

Our total liability to you for any claims arising from the Service is limited to the amount you paid to Urba (not to event organizers) in the 12 months preceding the claim.

11. Disputes

Disputes regarding events should be directed to the event organizer first. Urba may assist in mediating disputes but is not obligated to do so.

For disputes with Urba directly, these Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any legal proceedings shall be brought in the courts of Calgary, Alberta.

12. Account Termination

You may delete your account at any time from your account settings. Urba may suspend or terminate accounts that violate these Terms, with or without notice.

Upon termination, your right to use the Service ceases. Valid tickets purchased before termination remain valid for their respective events.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
